14. Indemnification

Procedures: In the event of a claim, the Indemnitee will give you written notice. If you fail to assume defense with counsel reasonably satisfactory to Indemnitee, Indemnitee may assume defense at your cost. Settlement of any claim that affects the Indemnitee requires their prior written consent.

Defined Terms: “Claim” means each and every claim, request, suit, action or cause of action of every kind. “Loss” includes liabilities, damages, costs, expenses, disbursements and attorney’s fees.
